Welcome to Soup City.

These Terms and Conditions ("Terms") govern your access to and use of the Soup City mobile application, website, and related services (collectively, the "Service").

By creating an account, accessing, or using Soup City, you agree to be bound by these Terms. If you do not agree with these Terms, please do not use the Service.

1. About Soup City

Soup City is a food ordering and delivery platform that allows customers to discover food and restaurants, place orders, make payments, and arrange delivery through the Service.

Soup City may facilitate transactions between customers, restaurants, and delivery personnel. Unless expressly stated otherwise, restaurants are responsible for the preparation, quality, availability, packaging, and accuracy of the food they provide.

2. Eligibility

To use Soup City, you must:

  • Provide accurate and complete information when creating an account.

  • Be legally capable of entering into a binding agreement.

  • Use the Service only for lawful purposes.

  • Keep your account information accurate and up to date.

If you are under the applicable age of legal capacity, you should use the Service only with the involvement and permission of a parent or legal guardian.

3. Account Registration

Certain features require you to create an account.

You are responsible for:

  • Providing accurate registration information.

  • Keeping your login credentials secure.

  • Maintaining the confidentiality of your account.

  • All activities carried out through your account.

You must notify Soup City promptly if you believe your account has been compromised or accessed without authorization.

Soup City reserves the right to suspend or terminate accounts that contain false information, are used fraudulently, or violate these Terms.

4. Food Orders

When you place an order through Soup City:

  1. You select food items and provide the required delivery information.

  2. You confirm your order and payment details.

  3. The restaurant receives and processes the order.

  4. The restaurant prepares the food.

  5. The order is delivered to the designated delivery address.

An order may be subject to acceptance by the restaurant.

Food availability, preparation times, and delivery times may vary.

Soup City does not guarantee that every food item displayed on the platform will always be available.

5. Restaurant Responsibilities

Restaurants listed on Soup City are responsible for:

  • Preparing food according to applicable food-safety requirements.

  • Ensuring food is fit for consumption.

  • Providing accurate descriptions of food items.

  • Providing accurate pricing and availability.

  • Properly packaging orders.

  • Preparing orders within a reasonable timeframe.

Soup City may rely on information provided by restaurants and cannot guarantee that all restaurant-provided information will always be completely accurate.

6. Food Allergies and Dietary Requirements

Customers are responsible for informing restaurants of any allergies, intolerances, or dietary requirements before placing an order where appropriate.

Soup City does not guarantee that food is free from allergens or cross-contamination.

If you have a serious food allergy or medical dietary requirement, you should contact the restaurant directly before placing an order.

Soup City is not responsible for allergic reactions or other consequences arising from food prepared by restaurants.

7. Prices

Prices displayed on Soup City may include:

  • Food prices

  • Delivery charges

  • Service fees

  • Applicable taxes

  • Other charges associated with the order

The total amount payable will be displayed before you complete your order, where applicable.

Restaurants and Soup City may change prices, fees, promotions, or charges from time to time.

8. Payments

Soup City uses third-party payment services, including Paystack, to process online payments.

By making a payment through the Service, you authorize the applicable payment provider to process the transaction.

Soup City does not store complete payment card details on its own servers where payment processing is handled directly by the payment provider.

You must ensure that the payment information you provide is accurate and that you are authorized to use the selected payment method.

9. Failed or Unsuccessful Payments

If a payment fails, is reversed, or is not successfully completed, Soup City may:

  • Cancel or suspend the order.

  • Request another payment method.

  • Prevent the order from being processed until payment is successfully completed.

If your account is charged but the order is not successfully processed, you should contact Soup City customer support with the relevant transaction information.

10. Delivery

Delivery times displayed by Soup City are estimates and are not guaranteed.

Delivery may be affected by:

  • Traffic

  • Weather

  • Restaurant preparation times

  • Delivery availability

  • Incorrect customer information

  • Events beyond our reasonable control

  • Other operational circumstances

Customers are responsible for providing an accurate delivery address and being reasonably available to receive their orders.

If a customer cannot be reached or provides an incorrect delivery address, additional delivery charges or cancellation may apply.

11. Order Cancellation

Cancellation requests may be subject to the status of the order.

If an order has not yet been accepted or prepared, cancellation may be possible.

Once a restaurant has accepted or begun preparing an order, cancellation may not be possible or may be subject to applicable charges.

Soup City reserves the right to determine whether a cancellation or refund is applicable based on the circumstances of the order.

12. Refunds

Refunds may be considered where:

  • An order was not delivered.

  • An incorrect order was delivered.

  • Items were missing from an order.

  • An order was cancelled by the restaurant or Soup City.

  • A payment was successfully processed but the corresponding order was not completed.

  • Another circumstance reasonably justifies a refund.

Refund eligibility may depend on the circumstances and evidence available.

Refunds may be issued through the original payment method or another appropriate method.

Soup City may request information or evidence before approving a refund.

13. Promotions and Discounts

Soup City may offer promotions, discounts, coupons, referral rewards, or other promotional campaigns.

Promotions may have additional terms, including:

  • Expiration dates

  • Minimum order values

  • Usage limits

  • Restaurant restrictions

  • Customer eligibility requirements

Promotions cannot be exchanged for cash unless expressly stated otherwise.

Soup City reserves the right to modify, suspend, or terminate promotions where permitted by applicable law.

14. Customer Conduct

You agree not to:

  • Use Soup City for unlawful purposes.

  • Provide false or misleading information.

  • Create multiple fraudulent accounts.

  • Abuse promotions or referral programs.

  • Attempt to manipulate prices or orders.

  • Use another person's account without authorization.

  • Interfere with the operation or security of the Service.

  • Attempt to gain unauthorized access to Soup City's systems.

  • Upload malicious software or harmful content.

  • Harass restaurants, delivery personnel, customers, or Soup City staff.

  • Use the Service to commit fraud or other unlawful activities.

Violation of these Terms may result in suspension or termination of your account.

15. Reviews and User Content

Soup City may allow users to submit reviews, ratings, comments, photographs, or other content.

You are responsible for content you submit.

You must not submit content that:

  • Is false or intentionally misleading.

  • Is defamatory or abusive.

  • Contains unlawful or threatening material.

  • Infringes another person's intellectual property rights.

  • Contains private or confidential information belonging to another person.

  • Contains malicious software or harmful material.

By submitting content to Soup City, you grant Soup City a non-exclusive right to use, reproduce, display, and distribute that content for purposes related to operating, promoting, and improving the Service, subject to applicable law.

16. Intellectual Property

All rights, title, and interest in the Soup City application, website, branding, logos, designs, software, text, graphics, and other materials provided by Soup City belong to Soup City or its licensors unless otherwise stated.

You may not copy, modify, distribute, reproduce, sell, lease, reverse engineer, or commercially exploit Soup City's intellectual property without prior written permission.

17. Third-Party Services

Soup City may use third-party services, including payment, hosting, notification, mapping, analytics, and other technology providers.

Third-party services may operate under their own terms and privacy policies.

Soup City is not responsible for the independent actions, policies, availability, or practices of third-party providers except to the extent required by applicable law.

18. Service Availability

We aim to keep Soup City available and reliable, but we do not guarantee that the Service will always be:

  • Available without interruption.

  • Free from errors.

  • Free from technical defects.

  • Available in every location.

  • Compatible with every device.

We may temporarily suspend or restrict access to the Service for maintenance, security, upgrades, or other operational reasons.

19. Account Suspension and Termination

Soup City may suspend, restrict, or terminate your access to the Service if:

  • You violate these Terms.

  • You engage in fraudulent or abusive activity.

  • Your account creates a security risk.

  • You provide false information.

  • Your use of the Service violates applicable law.

Termination does not necessarily eliminate obligations or liabilities that arose before termination.

20. Disclaimer

To the extent permitted by applicable law, Soup City provides the Service on an "as available" basis.

Soup City does not guarantee the accuracy, completeness, availability, quality, or suitability of restaurant information, food descriptions, delivery estimates, or other third-party information.

Soup City does not prepare food unless expressly stated otherwise. Restaurants are responsible for the food they prepare and provide.

21. Limitation of Liability

To the maximum extent permitted by applicable law, Soup City will not be liable for indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited under applicable law.

22. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless Soup City, its employees, representatives, contractors, and service providers from claims, losses, liabilities, damages, costs, or expenses arising from:

  • Your violation of these Terms.

  • Your misuse of the Service.

  • Your violation of applicable law.

  • Your infringement of another person's rights.

  • Information or content you submit through the Service.

23. Force Majeure

Soup City will not be responsible for delays or failures caused by circumstances beyond our reasonable control, including natural disasters, severe weather, government actions, strikes, power outages, telecommunications failures, internet disruptions, civil disturbances, or other extraordinary events.

24. Privacy

Your use of Soup City is also subject to our Privacy Policy, which explains how we collect and use personal information.

25. Changes to These Terms

Soup City may update these Terms from time to time.

When changes are made, we may notify users through the application, website, or other appropriate means.

The updated Terms will become effective when published unless otherwise stated.

Your continued use of the Service after the effective date of updated Terms constitutes acceptance of the revised Terms.

26. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws applicable in the Republic of Ghana, without prejudice to any mandatory consumer protection rights that may apply.

Any dispute arising in connection with these Terms should first be addressed through good-faith communication with Soup City.

Nothing in these Terms prevents a consumer from exercising rights available under applicable law.
